1. Acceptance of Terms

By accessing or using the V-Elite Logistics LLC ("V-Elite," "we," "us," or "our") website or any of our services, you agree to be bound by these Terms and Conditions of Use ("Terms"). If you do not agree to all of these Terms, you must not access or use our website or services.

These Terms apply to all visitors, users, customers, and any other person who accesses or uses our website or services. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of the updated Terms.

2. Services Description

V-Elite Logistics provides healthcare logistics services including, but not limited to:

  • Medical specimen transport and laboratory pickup/delivery
  • Pharmacy and medical supply distribution
  • Scheduled and STAT (urgent) medical deliveries
  • Healthcare document transport
  • Secure chain-of-custody logistics

All services are subject to availability and service area restrictions. We reserve the right to refuse or cancel any service request at our sole discretion.

3. User Responsibilities

When using our website or services, you agree to:

  • Provide accurate, current, and complete information for all service requests
  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized use of your account
  • Use our services only for lawful purposes and in compliance with all applicable laws and regulations
  • Not use our services to transport hazardous materials, illegal substances, or any items prohibited by law
  • Ensure that all shipments comply with applicable packaging, labeling, and documentation requirements

4. Service Agreements and Contracts

Each service request may be subject to a separate Service Agreement or Business Associate Agreement (BAA) that supplements these Terms. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail.

5. HIPAA and Protected Health Information

V-Elite Logistics complies with all applicable requirements of the Health Insurance Portability and Accountability Act (HIPAA) and related regulations. When we handle protected health information (PHI) on your behalf, our obligations are governed by a separate Business Associate Agreement.

You agree not to disclose PHI to us in any manner that would violate HIPAA or any other applicable privacy law. You are responsible for ensuring that you have all necessary authorizations and consents for the disclosure of PHI to us for logistics purposes.

6. Shipping Terms and Liability

6.1 Shipment Acceptance

V-Elite reserves the right to inspect and refuse any shipment that does not meet our packaging, labeling, or content requirements. We do not accept shipments containing hazardous materials, explosives, illegal substances, perishable items without proper temperature control packaging, or any items prohibited by applicable law.

6.2 Delivery Timeframes

Delivery timeframes are estimates only and are not guaranteed unless specifically stated in a written Service Agreement. V-Elite shall not be liable for delays caused by factors beyond our reasonable control, including but not limited to traffic, weather conditions, acts of God, accidents, or governmental actions.

6.3 Limitation of Liability

To the maximum extent permitted by law, V-Elite's liability for any claim arising out of or relating to our services shall be limited to the actual value of the shipment or the fees paid for the specific service, whichever is less. In no event shall V-Elite be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or cost of substitute services.

6.4 Claims

Any claim for loss, damage, or delay must be submitted in writing within 30 days of the scheduled delivery date. Failure to submit a claim within this timeframe constitutes a waiver of all claims.

7. Billing and Payment

  • All fees for services are as quoted at the time of request or as set forth in a Service Agreement.
  • Payment terms are net 30 days from the invoice date unless otherwise agreed in writing.
  • Late payments may be subject to a service charge of 1.5% per month (or the maximum allowed by law) on the outstanding balance.
  • We reserve the right to suspend or terminate services for accounts with overdue balances.
  • All prices are in US Dollars unless otherwise specified.

8. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of V-Elite Logistics or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

9. Prohibited Conduct

You agree not to:

  • Use our website or services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the operation of our website or services
  • Submit false or misleading information
  • Transmit viruses, malware, or any harmful code

We reserve the right to suspend or terminate your access to our website or services at any time, without prior notice, for any reason, including if you violate these Terms. Upon termination, your right to use our services will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms shall be brought exclusively in the courts located in the State of Delaware.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any Service Agreements, Business Associate Agreements, and our Privacy Policy, constitute the entire agreement between you and V-Elite Logistics regarding your use of our website and services, superseding any prior agreements or understandings.
